The City Council held a Workshop on Tuesday, June 9, 2026 at Oakdale Discovery Center,
4444 Hadley Avenue North, Oakdale, Minnesota. The meeting began at 5:15 PM.

## REVIEW OF 2025 FINANCIAL AUDIT
Finance Director Mikaela Huot introduced Jackie Huegel, Principal with LB|Carlson, and noted
that this item is informational only, with the City Council acknowledging receipt of the 2025
Annual Comprehensive Financial Report at their regular meeting later tonight.
Ms. Huegel briefly went over the three reports provided to Council, the auditor’s role, and audit
results for the year ended December 31, 2025. The City received an unmodified or “clean”
opinion which is the desired audit result. No findings to report for internal control and
compliance – financial audit and Minnesota legal compliance.
Ms. Huegel presented the changes in the governmental fund balances by classification. Mayor
Zabel asked what makes up the Restricted funds for the Public Works Facility. Ms. Huegel
stated both bond proceeds and local option sales tax revenue.

In response to Mayor Zabel’s question about the true bottom line of the total governmental
funds without one-time outliers, Ms. Huegel noted approximately $40 million.
Moving on, Ms. Huegel went over the General Fund year-end fund balance, noting compliance
with the City’s fund balance policy for the last three years.
In response to Mayor Zabel’s question about the dollar amount represented by an estimated
reduction in current fund balance while remaining within the City's fund balance policy that
incorporates maintaining a balance of 5.5 months of the subsequent years’ budgeted
expenditures for working capital (percentage of 45.83%), Ms. Huot stated an estimated $3-4
million.
Regarding the City’s fund balance policy, Mayor Zabel inquired whether the policy applies to
the Enterprise Funds. City Administrator Chris Volkers recalled it does not. City staff will look
into proposed changes in this regard.
Mayor Zabel suggested that staff look into utilizing revenue from the Surface Water Fund, for
example, for related stormwater infrastructure improvements on capital buildings.
General Fund revenues and General Fund expenditures were reviewed.
In response to Mayor Zabel’s question about why taxes were under budgeted, Ms. Huegel
stated that the City budgets close to the actual levy amount which does not factor in
abatements and delinquent taxes collected in future years.
Regarding why Debt Service is included in the General Fund Expenditures, Ms. Huegel
explained that the Governmental Accounting Standards Board (GASB) came out with a new
requirement that cities classify ongoing or long-term technology subscriptions in this way.
Ms. Huegel briefly touched on the summary of changes in net position for the Enterprise
Funds.
Lastly, Ms. Huegel provided Enterprise Funds highlights and the government-w ide statements.
## POLICE/CITY HALL BUDGET AND VALUE ENGINEERING
Ms. Volkers stated that the conversation tonight revolves around value engineering decisions
needed to cut project costs, but a larger conversation around revenue sources will take place
at the June 25, 2026 Special Workshop. She asked that the Council send any information
requests ahead of time so staff can pull together necessary information.
Mayor Zabel expressed concern about the order of decision-making in terms of determining
revenue sources and weighing in on value engineering items and scope modifications.

The bonding amount for the excess project cost above the $18 million local option sales tax
revenue was briefly discussed, but ultimately Council will make final decisions at the June 25,
2026 Special Workshop.
Joe McCormick, Project Manager with Kraus-Anderson, presented an example of Norman
brick versus Roman Maximus brick. Additionally, he noted that the re-design of the
underground stormwater system is an allowance item within Bid Package #1.
Mike Healy, Project Architect with BKV Group, went over the placement of the site lighting
bollards and offered to provide a landscape design identifying the reduced number of
plantings.
The Council agreed on the following for the value engineering items:
• Move forward with all line items marked “pursue”.
• Request for additional photos of the acid etched finish on the exterior Police
Department garage panels.
• Use Norman brick instead of Roman Maximus brick.
• Remove interior brick from north elevation of lobby.
• Explore cost of solid surface counter tops instead of quartz in non-public areas, for
staff tables, on the dais, etc.
• Request for illumination study related to reducing the site lighting bollards.
• Request for additional information on total cost of Veteran’s Memorial.
• Explore alternate funding sources for the Veteran’s Memorial.
• Request for additional information on total cost of plantings.
## WETLAND OUTLOTS AND CITY OWNERSHIP
Planning Manager Luke McClanahan recapped additional information sent to Council earlier
in the day regarding supplemental wetland definitions, research on peer cities, wetland
banking, and current City wetland ownership.
In response to Mayor Zabel’s question about whether the City needs language in its ordinance
to ensure wetland preservation, City Engineer Mark Statz stated that the Wetland
Conservation Act process along with staff relaying Council’s intent would be sufficient.
In terms of the City’s ability to waive provisions in the Subdivision Code, Mr. McClanahan
confirmed that the City Council is allowed to do so per the City Attorney.
Ms. Volkers inquired about how Council’s intent becomes a part of the Development Review
Committee (DRC) process. Mr. McClanahan suggested outlining specific criteria within the
ordinance to allow staff to relay Council’s intent. Council Member Morcomb added that staff
could include wetland information in the Development Checklist that accompanies each
development application. Mayor Zabel raised concerns about the timing and process given
that not all development applications seek Council input until final approvals.

The Council agreed that in most instances the City will maintain control of wetlands in some
form whether through an easement or an outlot, and ensure the City has access to the wetland
whether owned or not.
Council Member Severson was supportive of keeping the process flexible to make the
ownership decision on a case-by-case basis.
City staff preferred a Council-approved framework that will apply to most developments, with
the remaining few being left to Council’s discretion.
Council Members Moore and Wrich were strongly supportive of protecting the wetlands in the
City. Mr. Statz assured the group that wetlands are extremely well-protected by a collaborative
effort among multiple government agencies.
Mr. Statz noted that an easement allows the City to protect the wetlands without the
ownership aspect. Public Works Director Cory Tietz confirmed that the City can compel
maintenance of the wetland with assistance from the Minnesota Department of Natural
Resources.
City staff will brainstorm a revised DRC process and wetland ownership framework to bring
back to Council for review and input at a future Workshop.
Mr. McClanahan brought up two upcoming development applications – Golfview Townhomes
and Oakdale Gateway – both of which contain wetland areas. Council’s intent is to seek an
easement for the former and seek an outlot for the latter. Ms. Volkers suggested that City staff
request Council input if there are questions or concerns regarding these wetlands or any
future wetlands.
## ADMINISTRATOR UPDATE
Ms. Volkers brought up City Policy CC-002, Section 10.0 – Attendance, as the City Council was
provided an advisory body member attendance report for July 1, 2025 through June 30, 2026.
Given how this timeframe overlaps with reappointment and term dates, the City Council
agreed to waive the attendance requirement and revisit this section, and Section 3.0 – Terms,
at a future Workshop. Council Member Moore suggested using attendance at City events as
a metric along with attendance at meetings.
Ms. Volkers invited City Attorney Jim Thomson to give an update on the Oakdale Marketplace
LLC mediation, noting that incoming City Administrator Kelli Bourgeois and Community
Development Director Andy Gitzlaff will represent the City at mediation. Attorney Thomson
indicated that one Council Member may also be in attendance. The City Council agreed that
Mayor Zabel will attend/be on call/remote for the mediation on July 20, 2026.

## COUNCIL TOPICS
Council Member Moore thanked City staff for making the Eberle Park monument look
beautiful.
Council Member Morcomb requested information for the City Time Capsule. Ms. Volkers will
send an email to the City Council and gather all the items that will be sealed within, including
a proclamation signed by the entire City Council.
Council Member Wrich shared that she will be on leave later this Fall, but will provide details
closer to this medical leave date. She also expressed appreciation for all City staff during the
various moves over the last month into their temporary workspaces.
Mayor Zabel brought up the Climate Action Plan scope and budget and suggested bringing
this topic back along with the 2050 Comprehensive Plan at a future Workshop.
Mayor Zabel stated that the Regional Council of Mayors’ meeting included a discussion on AI
and the opportunity to apply for a pre-release pilot program through Government Analytica.
Mayor Zabel shared resident comments about how the City should celebrate the United
States’ 250

anniversary. The Council agreed that social media acknowledgement is
sufficient due to timing and budget constraints.
Mayor Zabel encouraged all Council Members to attend Summerfest events.

## a) Washington 3 Portfolio Project – Conduit Debt Financing Approval
Finance Director Mikaela Huot explained that this is a request to have the City serve as a conduit
revenue bond issuer for the Washington 3 Portfolio Housing Project. The project involves the
purchase, rehabilitation, and continued ownership of three existing affordable housing properties
– Gentry Townhomes in Oakdale, Westridge Townhomes in Forest Lake, and Victory Villa in
Stillwater. The proposed tax-exempt conduit financing, in an amount not to exceed $17 million,
would support acquisition and rehabilitation costs and extend existing affordability contracts that
are currently set to expire in 2027, by an additional 15 years. Ms. Huot continued, the City's conduit
debt policy permits this type of financing for projects that provide a community benefit, including
housing opportunities, even when some properties are located outside Oakdale. The bonds would
be payable solely from project revenues and would not affect the City's credit rating, debt limits,
taxing authority, or assets. The City would receive a 1% issuance fee based on the bond amount,
as well as a previously received non-refundable $3,000 application fee. Lastly, Ms. Huot asked
the Council to hold the public hearing, adopt Resolution 2026-31, and authorize the Mayor and
City Administrator to execute the necessary project documents at a later date prior to closing.
Mayor Zabel opened the public hearing and welcomed comments from the audience. No
comments were heard. Mayor Zabel closed the public hearing.

Mayor Zabel explained that conduit debt financing allows developers to access tax-exempt
financing through the City for qualifying development, redevelopment, or improvement projects.
While the bonds are issued in the City's name, the City does not assume the debt, is not financially
liable if the borrower defaults, and experiences no impact to its credit rating, debt levy, or taxing
authority. Instead, the City receives a fee for serving as the conduit issuer.

Mayor Zabel thanked Glen Bearth for his service on the Parks and Recreation Commission and

Council Member Morcomb thanked Mr. Bearth for the time and expertise he shared as a member
of the Parks and Recreation Commission.
Glen Bearth expressed his appreciation for the opportunity to give back to the community he loves.

Response program, noting that this is the result of more than three years of work by the City
Council, City staff, the Police Department, and Washington County. He stated that the program will

access the care they need.

Title: Approve the Purchase of Water Meters and Transmitters, as included in the 2026-2030 Capital
## Improvement Plan
## BACKGROUND
As part of the annual Capital Improvement Plan, the Oakdale City Council adopts a multi-year schedule
that delineates the projected costs, trade-in values, and replacement dates for the City’s vehicles and
equipment (collectively referred to as the CIP). Generally, this Plan and the corresponding procurement
for the upcoming year are ratified during the initial City Council meeting held in December of each year.
Following Council approval, staff are authorized to proceed with placing orders.
Included in the 2026-2030 Capital Improvement Plan is the procurement of new water meters and
transmitters, designated Water Meter Transmitter Replacement (U2022-01), to replace, enhance and
upgrade units that are no longer communicating water consumption data that is used to accurately
process utility bills. By purchasing in pallet quantities of 144 meters and transmitters, the City will save
$18.00 per meter, for an overall savings of $2,592 per pallet compared to purchasing meters and
transmitters individually.
## FINANCIAL CONSIDERATIONS
The Capital Improvement Plan budget for U2022-01 is $350,000. This purchase price of a pallet of
Neptune 5/8” x 3/4” T10 water meters is $49,248, resulting in a remaining balance of $300,752 for
continued replacement/upgrades of water meters.

It is requested that the City Council authorize the Mayor and City Administrator to sign the quote from
Ferguson Waterworks for the procurement of new water meters and transmitters in the amount of

## ZONING DISTRICT REQUIREMENTS
The subject unit is zoned R -2 Low Density Residential. In accordance with this zoning district, accessory
buildings are allowed to be up to 200 square feet, and may exceed 200 square feet through the
Conditional Use Permit process.

## ANALYSIS
The zoning ordinance states the following (Sec. 25-0 3-301(a)):
A conditional use is a permitted use that is allowed only when it is shown that the use meets certain
general and specific standards related to the proposed conditional use.
All conditional uses must meet seven (7) general criteria in order for a permit to be approved. This allows
the City to review the potential impact(s) the use may have and ensure that the use is consistent with the
vision for the area in the City’s Comprehensive Plan.
In addition, some conditional uses have specific criteria that must be met which are intended to address
potential issues that may arise associated with that type of use. If an application meets all of the criteria
in the ordinance, then a conditional use permit shall be granted.
General Criterial for Granting a Conditional Use Permit. The general criteria for granting a conditional use
permit (applicable to all conditional use permit requests) is listed in Section 25-03-302(c) of the Zoning
Code. The conditional use is evaluated according to the following criteria:
(1) The conditional use will be in conformity with the City’s comprehensive plan and with the
purpose, intent and applicable standards of this article.
The use is in conformity with the City’s Comprehensive Plan as the property is guided low density
residential and oversized accessory buildings are permitted in residential zoning districts,
provided certain conditions are met.
(2) The conditional use shall be located, designated, maintained and operated to be compatible
with the existing or intended character of that zoning district in which it is located.
The accessory building is located in a residential area where similar accessory buildings are
present on other nearby properties. Approval of this request should not alter the residential
character of the area. This condition is met.
(3) The use shall not be hazardous, detrimental or disturbing to present and potential surrounding
land uses due to noise, glare, smoke, dust, odor, fumes, water pollution, vibration, general
unsightliness or other nuisances.
If this CUP request is approved, the accessory building will need to meet setback requirements.
The applicant’s initial site plan appears to meet setback requirements (setbacks will be verified
at time of building permit review). The proposed use, shed, is not anticipated to generate any
nuisance conditions. This condition is met.

(4) The use shall not create traffic congestion, unsafe access or parking needs that will cause
inconveniences to the adjoining properties.
The building would be situated in the rear yard of the property and will not affect any traffic
congestion or parking needs. This condition is met.
(5) The use shall be served adequately by essential public services, such as streets, police, fire
protection and utilities.
The property is adequately served by public services and the accessory building will not require
additional services beyond those that can be provided by existing utilities. This condition is met.
(6) The use shall not create excessive additional requirements at public cost for public facilities
and services and shall not be detrimental to the economic welfare of the city.
The accessory building should not create any additional requirements at public cost. This condition
is met.
(7) The use shall preserve and incorporate the site's natural and scenic features into the
development design and cause minimal adverse environmental effects.
The property in question is 1.3 acres, and the accessory building will not impact any natural
features on the site and is not anticipated to cause any adverse environmental effects. This
condition is met.
Specific Conditional Use Permit Criteria for Private Garages and Accessory Buildings Exceeding the Size
Requirements. The specific criteria for granting a conditional use permit for an oversized accessory
building is listed in Section 25-09-201(d)(3) of the Zoning Code; staff evaluation of the application follows
the citations:
( A) The parcel of land where the private garage or accessory building is to be located may not be
subdivided as long as the private garage or accessory building is on the property.
A condition of approval, to address this requirement, has been added to the accompanying
resolution for the Conditional Use Permit.
(B) The private garage or accessory building must not be of a pole building type construction
(defined as a structure that utilizes treated lumber buried in the ground that serves as the building
foundation).
The proposed building is not classified as a pole building type construction, as it does not have a
foundation that is buried into the ground. This condition is met.
(C) The private garage or accessory building must not have a door or other access opening
exceeding ten (10) feet in height.
The accessory building’s door is planned to be approximately seven (7) feet in height. This
condition is met.
(D) The private garage or accessory building must not be used for commercial or industrial
activities, except as allowed by the regulations governing home occupations.
In the applicant’s narrative, it is noted that the accessory building will be used for residential
related purposes. No commercial or industrial activities are proposed to occur in the building. This
condition is met.
(E) The private garage or accessory building shall not exceed 1,500 square feet in size.

The accessory building is proposed to be up to 920 square feet in size. This condition is met.
(F) The private garage or accessory building shall not exceed 25 feet in height.
The accessory building is proposed to be approximately 11 feet tall. This condition is met.
(G) Parcels of land containing single-unit dwellings must not have more than one additional private

At a meeting of the City Council of the City of Oakdale held on Tuesday, June 23, 2026, at the
Oakdale Discovery Center, 4444 Hadley Avenue North, Oakdale, Minnesota, with the following

resolved:
WHEREAS, Shane Cronk has requested a Conditional Use Permit for an oversized accessory

## COMPREHENSIVE PLAN DESIGNATION
Per the City’s 2040 Comprehensive Plan, the subject property is guided for Industrial / Office uses.
## ZONING DISTRICT REQUIREMENTS
The property is zoned B-3 Light Industrial, where light industrial uses, including research and
development, are allowed.

## SITE PLAN STANDARDS
Site Plan review considers the relationship between the plan elements and conditions both on and off
the property to ensure conformance of the Comprehensive Plan, zoning code and design standards.
(1) Setbacks and Height: The proposed development meets the setback requirements for
industrial buildings ( 20 feet from interior lot lines, 30 feet from corner side lot line) and parking
lots (5 feet from interior lot lines). At 22 feet 4 inches, the tallest part of the building does not
exceed the zoning height restriction of 40 feet.
(2) Access, Circulation, and Parking: No new accesses or drive aisles are proposed for the site.
The existing parking lot contains 97 parking spaces; four parking spaces are proposed to be
removed as part of the building, bringing the new total to 93 spaces. This figure exceeds the
City’s minimum parking requirement of 69 spaces.
(3) Exterior Building Materials and Design: In accordance with Sec. 25-10-200(e) of the Zoning
Ordinance, industrial buildings must be comprised of at least 50% Class I materials, as defined
by the Ordinance. The proposed materials (consisting primarily of brick veneer and glass)
exceed the Ordinance requirement. This condition is met.
The proposed facility is designed as a training center for participants to learn how to perform
energy audits, weatherization techniques, and building testing technologies in a multifamily
(apartment) setting with model apartments. As a result, the facility is designed to resemble a
small walk-up apartment building. Staff initially had concerns with the proposed design, as the
property is zoned B-3 for light industrial / office, and residential buildings are prohibited in the
B-3 district. In addition, the model apartment/testing facility will not consist of habitable
dwelling units, and the building would receive a commercial Certificate of Occupancy rather
than a residential Certificate of Occupancy. From a practical perspective, only one commercial
restroom will be installed, reducing the feasibility of residential use. A condition prohibiting
residential use of the new building has been added to the accompanying resolution.
One concern associated with the proposed building is the potential for a future subdivision
that divides the lot into two, leaving the proposed model apartment building as a standalone

structure. To address this concern, a condition prohibiting subdivision without removal of the
building has been added to the accompanying resolution under the advice of the City Attorney.
(4) Trash Enclosure: As required by the Ordinance, the proposed trash collection area is fully
screened from the eye level view from public streets. All trash collection is handled internally.
This condition is met.
(5) Landscaping: Two trees will be removed to accommodate the building, but the removals will
not prompt the tree preservation ordinance. The number of trees that will remain on site meets
the landscaping requirements of the City’s Zoning Ordinance. Additionally, shrubs will be
planted around the proposed addition. The landscaping requirements are met.
(6) Screening of Rooftop Utilities. As required by Sec. 25-10-701(b)(4)(A) of the Ordinance, rooftop
equipment must be screened with materials comparable and compatible with that of the
exterior building materials. Currently, no information on rooftop equipment screening is
provided.
The applicant will need to provide additional information on rooftop equipment screening.
As proposed, the front façade of the building is designed to resemble a small apartment
building. In recognition of the parcel being located in an industrial / office district, the front
façade will face internally towards the existing building, screening its appearance from 4
th
Street North. The rear building façade and western facade, which more closely resemble a
traditional industrial building, will face 4
th
Street North and Hayward Avenue North.
(7) Site Lighting: No new freestanding lights are proposed. The applicant has stated that new wall
lighting will be installed. As required by the Ordinance, lighting may not exceed 0.5 foot-candles
at any property line.
The applicant will need to provide a photometric plan at time of building permit.
(8) Signage: The applicant will need to obtain a permit for the proposed wall sign. All signage must
conform to the City’s sign regulations.
(9) Grading and Utilities: The applicant submitted plans for grading and utilities. The applicant will
need to work closely with the Ramsey Washington Metro Watershed District on stormwater
provisions.
(10) Other Regulatory Review: As mentioned, the applicant will need to work with the Ramsey
Washington Metro Watershed District to satisfy stormwater management provisions. Due to
the relatively small amount of disturbance, a permit may not be required.

## EXECUTIVE SUMMARY
The Energy Conservatory (TEC) respectfully requests support from the Oakdale City Council for the
construction of a multi-family training display facility on TEC's campus in Oakdale. This project is
Phase 2 of the Minnesota Home Energy Training Center — a state-funded initiative administered by
the Center for Energy and Environment (CEE) and designed to equip Minnesota's weatherization and
home performance professionals with the skills needed to create energy-efficient, healthy, and safe
homes.
Phase 1 — a training center and single-family demonstration house inside TEC's existing Oakdale
facility — has been successfully completed with the support of the City of Oakdale. Phase 2 builds on
that foundation by constructing a dedicated, standalone multi-family training display building on TEC
property. This structure will be designed to deliver experiential learning: a hands-on environment
where professionals can study, diagnose, and remedy the most common energy and health
deficiencies found in multi-family residential construction across the past several decades. Because of
the dedicated training design, it will also serve the needs of building science and HVAC research as
well.
This investment will help establish Oakdale as a nationally recognized destination for building science
- drawing students, researchers, and industry professionals from across the United States.
We are hoping to get early feedback and guidance on approvals for the project.
• We have the General Contractor (Lindee Construction) involved and supportive of a project
which can start as soon as approved and will be completed within a 5-month schedule.
• The fiscal year for the grant funding ends on June 30, 2026. To ensure continued funding of
this project into the next budget cycle, we are being asked to break ground on this project by
approx. June 1, 2026. We realize this is a quick turnaround and welcome your feedback and
guidance on what work needs to be completed to consider approval, given the previous
revision of the project design was approved by City Council in September 2025.

## A Unique Training Resource for the Nation
Multi-family housing presents a distinct set of energy, health, and safety challenges that differ
substantially from single-family construction. Shared mechanical systems, stack-effect pressures,
combustion appliance proximity, and complex airflow dynamics require specialized training that does
not currently exist in a hands-on facility format anywhere in the region.
TEC's proposed training display home will be purpose-built to replicate and demonstrate the real-

Because no comparable facility exists in the United States, TEC's training center will become a
destination for building science professionals not only from Minnesota but from across the country and
internationally. Weatherization contractors, home performance contractors, building inspectors, HVAC
contractors, energy auditors, utility program managers, and code officials will travel to Oakdale for:
• Hands-on weatherization and diagnostic training programs
• Applied research in building performance and indoor air quality

• Continuing education for licensed and certified professionals

## Strengthening Minnesota's Weatherization Workforce
Minnesota's weatherization assistance programs serve thousands of low-income households each
year, reducing energy burdens and improving home comfort and safety. The workforce delivering
these services requires ongoing, high-quality training — especially as housing stock ages and multi-
family properties become an increasing share of the weatherization portfolio. TEC's facility directly
addresses this workforce development need at a statewide scale, ensuring Minnesota's professionals
remain among the best trained in the nation.

The proposed multi-family training display home will be constructed on TEC-owned property adjacent
to our main commercial building in Oakdale. Key design parameters include:

from the past several decades

At a meeting of the City Council of the City of Oakdale held on Tuesday, June 23, 2026, at Oakdale

standards.

Plan amendment for 403 Hayward Avenue North (Legal Description: Lot 1, Block 1, Gateway Addition)

Title: Adoption of a Parameters Resolution Regarding the Issuance of the G.O. Bond Series 2026A
## and Establishing a Pricing Committee
## BACKGROUND
The Parameters Resolution regarding the Issuance of the G.O. Bonds Series 2026A includes the issuance
under three types of authority: Improvement, Sales Tax Revenue, and Capital Improvement. Each type of
authority can only fund specific projects. The City is issuing all three together as the timing lines up for
the projects and there are savings on the bond issuance costs.
## Fo
r awarding a bond sale, the City customarily coordinates the sale process through a parameters
resolution. Issues such as market volatility, unique or unusual characteristics of a bonds structure, or the
potential lack of a quorum to award the bids result in justification to request greater flexibility in the
bonding process. This method of using a parameters resolution process permits a separately designated
committee to authorize awarding of the sale. This option is referred to as a ‘Parameters Resolution’
approach, which includes the process outlined below:
1.The Council adopts a “parameters resolution” prior to the sale date. The “parameters resolution”
authorizes the formation of a Pricing Committee consisting of the City Administrator and the
Finance Director. The pricing committee is then authorized by the parameters resolution to sign a
contract (the bond purchase agreement) to sell the bonds to an underwriter, so long as several
financial benchmarks, or “parameters”, are satisfied. These parameters are:
a.Maximum (par) amount of $20,000,000
b.Maximum interest rate (true interest cost) of 4.75%
c.Final maturity date of February 1, 2053
2.Th
e City and Baker Tilly conduct the bond sale, which is proposed to be August 13, 2026, and the
Pricing Committee awards the sale and executes the bond purchase agreement if the best bid for
the bonds falls within the parameters specified in the parameters resolution.
3.At a
future regular City Council meeting, City staff and representatives from Baker Tilly will present
the outcome of the bond sale, specifying the final terms of the bonds, assuming the sale takes
place on August 13, 2026.

projects. In addition to including estimated issuance costs, the Improvement Portion par amount is
decreased for collected and anticipated to-be collected special assessments. See below for further
background on the 2026A debt process, broken down by bonding authority.
## Improvement Portion
At the December 9, 2025 City Council meeting, the 2026 Street Reconstruction (R2026-01) project was
ordered for $6,616,560. The project area includes replacement of pavement on Greenway Avenue N
from Hudson Boulevard N to 7th Street N, Grafton Avenue N from 2nd Street N to Granada Avenue N,
2nd Street N from Greenway Avenue N to Grafton Avenue N, 3rd Street Court N from Greenway Avenue
N to Cul-de-sac, and 4th Street N from Granada Avenue N to Greenway Avenue. The project will
remove/replace the asphalt and curb/gutter. There will be an upgrade of the lighting system to LED
fixtures and metered feed point. Spot repairs of sanitary sewer and water main replacement will be done
based on televising results and break history. Signs will be replaced to improve reflectivity and compliance
with the Manual of Uniform Traffic Control Devices. The project also includes the installation of a sidewalk
or trail along Greenway Avenue N from Hudson Boulevard N to 7th Street N.
At the April 28, 2026 City Council meeting, the bid for project R2026-01 was awarded, and the project
cost was amended to $7,941,976.56, this includes bond funding of $675,871. The R2026-01 project
has at least a portion of the cost assessed to the benefiting property owners, which, per City policy, will
be charged an interest rate of two percent (2%) (rounded to the nearest 1/4 percent) above the City’s
interest rate established at the time of the bond sale. The proposed bond duration for the project areas
is ten years per City policy.
## Sales Tax Revenue and Capital Improvement Plan Portions
The total project cost for the Police Department Expansion (B2025-0 1) and Construction of City Hall
Remodel (B2026-01) as combined is estimated to be approximately $35 million. The sales tax supported
portion of the building improvements will be authorized under Minnesota Statute 475 as Sales Tax
Revenue Bonds.
For the remaining bond funding, the City may issue bonds under Minnesota Statute 475.521 - Capital
Improvement Bonds (CIP). A public hearing for this was held on July 23, 2024. The 2026-2030 Capital
Improvement Plan estimated the City levy portion to be $8.7 million for remaining costs associated with
the Police Department Expansion project and $10 million associated with the City Hall Remodel project.
## FINANCIAL CONSIDERATIONS
This request is consistent with the approved 2026-2030 CIP, budgets, and bid awards, as applicable, for
each project:

BE IT RESOLVED By the City Council (the “City Council”) of the City of Oakdale, Washington
County, Minnesota (the “ City”) as follows:
## Sec
tion 1. Sale of Bonds.

1. It is determined that:
(a)certain assessable public improvements in the City including the costs of
various street and utility improvement projects, including without limitation the 2026 Street
Reconstruction (R2026-01) project (the “Improvements”) have been duly ordered by the City;
(b) the City is authorized by Minnesota Statutes, Chapter 429 (the “Improvement

to finance all or a portion of the cost of the Improvements by the issuance of general
obligation bonds of the City payable from special assessments levied against benefited
property and ad valorem taxes;
(c) the City is authorized by Minnesota Statutes, Chapter 475, including without
limitation, section 475.521 (the “CIP Act”), to finance certain capital improvements under an
approved capital improvement plan by the issuance of general obligation bonds of the City
payable from ad valorem taxes. Capital improvements include acquisition or betterment of
public lands, buildings or other improvements for the purpose of a city hall, library, public
safety facility and public works facilities (excluding light rail transit or any activity related to it,
or a park, road, bridge, administrative building other than a city hall, or land for any of those
ac
tivities);
(d) the City held a public hearing on July 23, 2024, regarding a 5-year capital
improvement plan for the years 2024 through 2028 (the “CI Plan”) and regarding issuance of
bonds in the maximum principal amount of $30,000,000 to finance planned capital
improvements, all in accordance with the CIP Act. The CI Plan authorizes issuance of bonds
to pay the cost of certain capital improvements identified in the capital improvement plan,
including without limitation the construction of a new public works facility, construction and
rehabilitation, and associated building costs of the police department facility, and
c
onstruction and rehabilitation, and associated building costs of the city hall renovation within
the City (the “Capital Improvements”);
(e) on November 14, 2024, the City issued $5,245,000 in principal amount of
bonds under the CI Plan;
(f) on September 10, 2025, the City issued $615,000 in principal amount of
bonds under the CI Plan;

he City Council has determined that no petition for a referendum on the
issuance of bonds to pay costs of the Capital Improvements was received by the City in
accordance with the CIP Act within 30 days after the hearing;
(h) as required by the CIP Act, the City has determined that:
(i)the expected useful life of the Capital Improvements will be at least 5
years; and
(ii)the amount of principal and interest due in any year on all outstanding
bonds issued by the City under the CIP Act, including the Bonds (as
defined below), will not exceed 0.16% of the estimated market value of
property in the City for taxes payable in 2026;
(i)pursuant to Minnesota State Laws 2021, First Special Session, Chapter 14,
Article 8, Section 15 and Minnesota State Laws 2023, Chapter 65, Article 10, Sections 20
through 23 (collectively, the “Special Law”) and Minnesota Statutes, Chapter 475 (together
with the Special Law, the “Sales Tax Act”), and pursuant to referendum questions duly
approved by the electorate of the City on November 8, 2022 and November 5, 2024, the City
has been authorized to impose certain sales and use taxes (collectively, the “Sales Taxes”)
and to issue its general obligation bonds, in the maximum amount of $28,000,000 for a public
works facility and $18,000,000 for a police department facility, as specified in the Special
## Law;
(j)the
City Council and the City have complied with Minnesota Statutes, Section
645.021, Subdivision 3, in approving the Special Law;
(k)on November 14, 2024, the City issued $15,160,000 in principal amount of
bonds under the Special Law, primarily for the public works facility portion of the authorized
projects;

)on September 10, 2025, the City issued $5,915,000 in principal amount of
bonds under the Special Law, primarily for the public works facility portion of the authorized
projects;
(m)T
he City is authorized pursuant to the Sales Tax Act to issue its general
obligation sales tax bonds on such terms and in such manner as the City determines to
finance the acquisition and betterment of either or both of a new Public Works Facility and
the expansion and remodeling of the Oakdale Police Department Facility (the “Sales Tax
Project”), subject to certain limitations contained in the Sales Tax Act; and

Advisors LLC, St. Paul, Minnesota (“Baker Tilly”) as independent municipal advisor, and,
pursuant to Minnesota Statutes, Section 475.60, subdivision 2, paragraph 9, Baker Tilly is
hereby authorized to solicit proposals for the Bonds on behalf of the City on a competitive
basis without requirement of published notice. The terms of the Bonds and the sale thereof
shall be substantially as set forth in the Terms of Proposal attached as
EXHIBIT A hereto, which
are hereby approved. The City hereby determines to sell the Bonds in accordance with the
procedures set forth in
EXHIBIT A. The City hereby establishes a pricing committee with
respect to the sale of the Bonds comprised of the City Administrator and the City Finance
Director (the “Pricing Committee”). The Pricing Committee is authorized and directed, upon
satisfaction of the conditions for the issuance of the Bonds under the Improvement Act, the
Sales Tax Act and the CIP Act (collectively the “Act”) and with the advice of Baker Tilly MA, to
(i) review proposals for the sale of the Bonds; (ii) award the sale of the Bonds to the
prospective purchaser (the “Purchaser”), not later than 90 days from the date hereof, in an
aggregate principal amount not to exceed $20,000,000, with a true interest cost not to
exceed 4.75% and a final maturity not later than February 1, 2053; (iii) approve the dates for
optional redemption or any mandatory sinking fund redemption schedule; (iv) approve the
principal amounts and maturities of each of the Improvement Bonds, the Sales Tax Bonds
and the CIP Bonds; (v) approve the tax levies for the repayment of each of the Improvement
Bonds, the Sales Tax Bonds and the CIP Bonds, as applicable, all as set forth in a Pricing
Certificate executed by the Pricing Committee (the “Pricing Certificate”). Subject to a
determination by the Pricing Committee, the City hereby approves the sale of the Bonds to the
Purchaser, at the price, par bond principal amount, maturity schedule, and rates to be
determined by the Pricing Committee based on the lowest true interest cost.

.03. Contract with the Purchaser. Any amount paid by the Purchaser over the
minimum purchase price shall be credited to the accounts in the Debt Service Fund
hereinafter created, or deposited in the accounts in the Construction Fund hereinafter
created, as determined by the City Finance Director after consultation with the City’s municipal
advisor. The Mayor and City Administrator are authorized to execute a contract with the
Purchaser on behalf of the City, if requested by the Purchaser.

.04 Terms and Principal Amounts of the Bonds. Subject to a determination by the
Pricing Committee, the City will forthwith issue and sell the Bonds pursuant to Act, in an
aggregate principal amount not to exceed $20,0 00,000 plus any premium, originally dated as
of the date of issuance, in fully registered form, in denominations of $5,000 each or any integral
multiple thereof, numbered No. R-1 upward, bearing interest as determined by the Pricing
Committee, and maturing on February 1 in the years and amounts as determined by the Pricing
Committee.
As may be requested by the Purchaser, one or more term Bonds may be issued having
mandatory sinking fund redemption and final maturity amounts as set forth in the principal
repayment schedule in the Pricing Certificate, and corresponding additions may be made to the
provisions of the applicable Bond(s).
1.05. Optional Redemption. The Pricing Committee will determine whether and when
the Bonds will be subject to optional redemption prior to maturity. If the Bonds are subject to
optional redemption, the following provisions shall apply: Redemption may be in whole or in part
and if in part, at the option of the City and in such manner as the City will determine. If less than
all Bonds of a maturity are called for redemption, the City will notify DTC (as defined in Section 6
hereof) of the particular amount of such maturity to be prepaid. DTC will determine by lot the
amount of each participant’s interest in such maturity to be redeemed and each participant will
then select by lot the beneficial ownership interests in such maturity to be redeemed.
Prepayments will be at a price of par plus accrued interest.
Section 2. Form; Registration.
2.01. Registered Form. The Bonds will be issued only in fully registered form. The
interest thereon and, upon surrender of each Bond, the principal amount thereof, is payable by
check or draft issued by the Registrar described herein.
2.02. Dates; Interest Payment Dates. Each Bond will be dated as of the last interest
payment date preceding the date of authentication to which interest on the Bond has been paid
or made available for payment, unless (i) the date of authentication is an interest payment date
to which interest has been paid or made available for payment, in which case the Bond will be
dated as of the date of authentication, or (ii) the date of authentication is prior to the first interest
payment date, in which case the Bond will be dated as of the date of original issue. The interest
on the Bonds is payable on February 1 and August 1 of each year, commencing August 1, 2027
or such other date determined by the Pricing Committee, to the registered owners thereof of
record as of the close of business on the 15
th
day of the immediately preceding month, whether
or not that day is a business day.
2.03. Registration. The City will appoint, and will maintain, a bond registrar, transfer
agent, authenticating agent and paying agent (the “Registrar”). The effect of registration and the
rights and duties of the City and the Registrar with respect thereto are as follows:
(a
)Register. The Registrar will keep at its principal corporate trust office a bond
register in which the Registrar provides for the registration of ownership of Bonds and the
registration of transfers and exchanges of Bonds entitled to be registered, transferred or
exchanged.
(b)Transfer of Bonds. Upon surrender for transfer of any Bond duly endorsed by the
registered owner thereof or accompanied by a written instrument of transfer, in form
satisfactory to the Registrar, duly executed by the registered owner thereof or by an
attorney duly authorized by the registered owner in writing, the Registrar will authenticate
and deliver, in the name of the designated transferee or transferees, one or more new
Bonds of a like aggregate principal amount and maturity, as requested by the transferor.
The Registrar may, however, close the books for registration of any transfer after the 15th
day of the month preceding each interest payment date and until that interest payment
date.
(c
)Exchange of Bonds. Whenever any Bonds are surrendered by the registered
owner for exchange the Registrar will authenticate and deliver one or more new Bonds of
a like aggregate principal amount and maturity as requested by the registered owner or
the owner’s attorney in writing.

(d)Cancellation. All Bonds surrendered upon any transfer or exchange will be
promptly cancelled by the Registrar and thereafter disposed of as directed by the City.
(e)Improper or Unauthorized Transfer. When a Bond is presented to the Registrar
for transfer, the Registrar may refuse to transfer the Bond until the Registrar is satisfied
that the endorsement on the Bond or separate instrument of transfer is valid and genuine
and that the requested transfer is legally authorized. The Registrar will incur no liability
for the refusal, in good faith, to make transfers which it, in its judgment, deems improper
or unauthorized.
(f)Persons Deemed Owners. The City and the Registrar may treat the person in
whose name a Bond is, at any time, registered, as of the applicable record date, in the
bond register as the absolute owner of such Bond, whether such Bond is overdue or not,
for the purpose of receiving payment of, or on account of, the principal of and interest on
the Bond and for all other purposes, and payments so made to a registered owner or
upon the owner’s order will be valid and effectual to satisfy and discharge the liability
upon the Bond to the extent of the sum or sums so paid.
(g
)Taxes, Fees and Charges. The Registrar may impose a charge upon the owner
thereof for a transfer or exchange of Bonds, sufficient to reimburse the Registrar for any
tax, fee or other governmental charge required to be paid with respect to the transfer or
exchange.
(h)Mutilated, Lost, Stolen or Destroyed Bonds. If a Bond becomes mutilated or is
destroyed, stolen or lost, the Registrar will deliver a new Bond of like amount, number,
maturity date and tenor in exchange and substitution for and upon cancellation of the
mutilated Bond or in lieu of and in substitution for any Bond destroyed, stolen or lost,
upon the payment of the reasonable expenses and charges of the Registrar in connection
therewith; and, in the case of a Bond destroyed, stolen or lost, upon filing with the
Registrar of evidence satisfactory to the Registrar that the Bond was destroyed, stolen or
lost, and of the ownership thereof, and upon furnishing to the Registrar an appropriate
bond or indemnity in form, substance and amount satisfactory to the Registrar and as
provided by law, in which both the City and the Registrar must be named as obligees.
Bonds so surrendered to the Registrar will be cancelled by the Registrar and evidence of
such cancellation must be given to the City. If the mutilated, destroyed, stolen or lost
Bond has already matured or been called for redemption in accordance with its terms it
is not necessary to issue a new Bond prior to payment.
(i
)Redemption. In the event any of the Bonds are called for redemption, written
notice thereof identifying the Bonds to be redeemed will be given by the Registrar by
mailing a copy of the redemption notice by first class mail (postage prepaid) at least
30 days prior to the redemption date to the registered owner of each Bond to be
redeemed at the address shown on the registration books kept by the Registrar and
by publishing the notice if required by law. Failure to give notice by publication or by
mail to any registered owner, or any defect therein, will not affect the validity of the
proceedings for the redemption of Bonds. Bonds so called for redemption will cease
to bear interest after the specified redemption date, provided that the funds for the
redemption are on deposit with the place of payment at that time.

2.04. Appointment of Initial Registrar. The City appoints U.S. Bank Trust Company,
National Association, St. Paul, Minnesota, as the initial Registrar. The Mayor and the City
Administrator are authorized to execute and deliver, on behalf of the City, a contract with the
Registrar. Upon merger or consolidation of the Registrar with another corporation, if the
resulting corporation is a bank or trust company authorized by law to conduct such business,
the resulting corporation is authorized to act as successor Registrar. The City agrees to pay
the reasonable and customary charges of the Registrar for the services performed. The City
reserves the right to remove the Registrar upon 30 days’ notice and upon the appointment of
a successor Registrar, in which event the predecessor Registrar must deliver all cash and
Bonds in its possession to the successor Registrar and must deliver the bond register to the
successor Registrar. On or before each principal or interest due date, without further order of
this City Council, the City Finance Director must transmit to the Registrar moneys sufficient
for the payment of all principal and interest then due.
2.05. Execution, Authentication and Delivery. The Bonds will be prepared under the
direction of the City Finance Director and executed on behalf of the City by the signatures of the
Mayor and the City Administrator, provided that all signatures may be printed, engraved or
lithographed facsimiles of the originals. If an officer whose signature or a facsimile of whose
signature appears on the Bonds ceases to be such officer before the delivery of any Bond, that
signature or facsimile will nevertheless be valid and sufficient for all purposes, the same as if the
officer had remained in office until delivery. Notwithstanding such execution, a Bond will not be
valid or obligatory for any purpose or entitled to any security or benefit under this Resolution
unless and until a certificate of authentication on the Bond has been duly executed by the
manual signature of an authorized representative of the Registrar. Certificates of authentication
on different Bonds need not be signed by the same representative. The executed certificate of
authentication on a Bond is conclusive evidence that it has been authenticated and delivered
under this Resolution. When the Bonds have been so prepared, executed and authenticated,
the City Finance Director will deliver the same to the Purchaser thereof upon payment of the
purchase price in accordance with the contract of sale heretofore made and executed, and the
Purchaser is not obligated to see to the application of the purchase price.
2.06. Form of Bond. The Bonds will be printed or typewritten in substantially the form
set forth in EXHIBIT B attached hereto.
2.07. Approving Legal Opinion. The City Finance Director is authorized and directed to
obtain a copy of the proposed approving legal opinion of Kutak Rock LLP, Minneapolis,
Minnesota, which will be complete except as to dating thereof and will cause the opinion to be
printed on or accompany each Bond.
## Se
ction 3. Funds and Accounts; Security; Payment.
3.01. Debt Service Fund and Accounts Maintained Therein. For the convenience and
proper administration of the moneys to be borrowed and repaid on the Bonds, and to provide
adequate and specific security for the Purchaser and holders from time to time of the Bonds,
there is hereby created a special fund to be designated the “General Obligation Improvement,
Sales Tax and CIP Bonds, Series 2026A Debt Service Fund (the “Debt Service Fund”). The
Debt Service Fund shall be administered and maintained by the City Finance Director as a
bookkeeping account separate and apart from all other funds maintained in the official
financial records of the City. The Debt Service Fund will be maintained in the manner herein

specified until all of the Bonds and the interest thereon have been fully paid. The City hereby
creates and will maintain the following accounts in the Debt Service Fund: the “Improvement
Account”, the “Sales Tax Account” and the “CIP” Account. Amounts in the Improvement
Account are irrevocably pledged to the Improvement Bonds, amounts in the Sales Tax Account
are irrevocably pledged to the Sales Tax Bonds and amounts in the CIP Account are irrevocably
pledged to the CIP Bonds.
(a)Improvement Account. To the Improvement Account in the Debt Service
Fund, there is hereby pledged and irrevocably appropriated and there will be credited: (i)
proceeds of ad valorem property taxes levied as determined by the Pricing Committee
and allocated to the payment of debt service on the Improvement Bonds as set forth in
the Pricing Certificate (the “Improvement Taxes”) and the special assessments levied
against the property specially benefited by the Improvements (the “Assessments”); (ii)
capitalized interest financed from Improvement Bond proceeds, if any; (iii) a pro rata
portion of any amount over the minimum purchase price paid by the Purchaser, to the
extent designated for deposit in the Debt Service Fund in accordance with Section 1.03
hereof; (iv) all investment earnings on funds in the Improvement Account of the Debt
Service Fund; and (v) any and all other moneys which are properly available and are
appropriated by the City Council to the Improvement Account of the Debt Service Fund.
The Debt Service Fund will be maintained in the manner herein specified until all of the
Improvement Bonds and the interest thereon will have been fully paid. The City Finance
Director will report to the City Council any current or anticipated deficiency in the
Improvement Account in the amount necessary to pay the principal of and interest on the
Improvement Bonds when due. If a payment of principal or interest on the Improvement
Bonds becomes due when there is not sufficient money in the Improvement Account in
the Debt Service Fund to pay the same, the City Finance Director is directed to pay such
principal or interest from other funds of the City, and such fund will be reimbursed for
those advances out of the proceeds of Assessments and Improvement Taxes when
collected.
(b)Sales Tax Account. To the Sales Tax Account in the Debt Service Fund there
is hereby pledged and irrevocably appropriated and there will be credited: (i) revenues
generated by the Sales Taxes; (ii) proceeds of any ad valorem property taxes levied, as
determined by the Pricing Committee, and allocated to the payment of debt service on
the Sales Tax Bonds as set forth in the Pricing Certificate (the “Sales Tax Taxes”); (iii)
capitalized interest financed from Sales Tax Bond proceeds, if any; (iv) a pro rata portion
of the amount over the minimum purchase price paid by the Purchaser, to the extent
designated for deposit in the Debt Service Fund in accordance with Section 1.03 hereof;
(v) all investment earnings on amounts in the Sales Tax Account of the Debt Service Fund;
and (vi) any other funds appropriated for the payment of principal or interest on the Sales
Tax Bonds. The City Finance Director must report to the City Council any current or
anticipated deficiency in the Sales Tax Account in the amount necessary to pay principal
of and interest on all of the Sales Tax Bonds when due. If a payment of principal or
interest on the Sales Tax Bonds becomes due when there is not sufficient money in the
Sales Tax Account in the Debt Service Fund to pay the same, the City Finance Director is
directed to pay such principal or interest from the general fund of the City, and the general
fund will be reimbursed for the advances out of the proceeds of Sales Tax revenues when
collected.

(c)CIP Account. To the CIP Account in the Debt Service Fund there is hereby
pledged and irrevocably appropriated and there will be credited: (i) proceeds of ad
valorem property taxes levied as determined by the Pricing Committee and allocated to
the payment of debt service on the CIP Bonds as set forth in the Pricing Certificate (the
“CIP Taxes”), which ad valorem taxes are pledged to the CIP Account; (ii) capitalized
interest financed from CIP Bond proceeds, if any; (iii) a pro rata portion of the amount
over the minimum purchase price paid by the Purchaser, to the extent designated for
deposit in the Debt Service Fund in accordance with Section 1.03 hereof, (iv) all
investment earnings on funds in the CIP Account of the Debt Service Fund; and (v) any
and all other moneys which are properly available and are appropriated by the City Council
to the CIP Account of the Debt Service Fund. The Finance Director must report to the City
Council any current or anticipated deficiency in the CIP Account in the amount necessary
to pay principal of and interest on all of the CIP Bonds when due. If a payment of principal
or interest on the CIP Bonds becomes due when there is not sufficient money in the CIP
Account in the Debt Service Fund to pay the same, the City Finance Director is directed to
pay such principal or interest from the general fund of the City, and the general fund will
be reimbursed for the advances out of the proceeds of CIP Taxes when collected.

.02 Construction Fund. The City hereby creates the General Obligation Improvement,
Sales Tax and CIP Bonds, Series 2026A Construction Fund (the “Construction Fund”) to be
administered and maintained by the City Finance Director as a bookkeeping account separate
and apart from all other funds maintained in the official financial records of the City. The City will
maintain the following accounts in the Construction Fund: the “Improvement Account”, ” the
“Sales Tax Account” and the “CIP Account”. Amounts in the Improvement Account will be used
to construct the Improvements, amounts in the Sales Tax Account will be used to construct the
Sales Tax Project and amounts in the CIP Account will be used to construct the CIP Project.
(a
)Improvement Account. Proceeds of the Improvement Bonds, less the
appropriations made in Section 3.01(a), together with the any other funds appropriated
for the Improvements and the Assessments and Improvement Taxes collected during the
construction of the Improvements will be deposited in the Improvement Account of the
Construction Fund to be used solely to defray expenses of the Improvements and the
payment of principal of and interest on the Improvement Bonds prior to the completion
and payment of all costs of the Improvements. Any balance remaining in the
Improvements Account of the Construction Fund after completion of the Improvements
and payment of the costs thereof, may be used to pay the cost in whole or in part of any
other improvement instituted under the Act under the direction of the City Council or may
be used as provided in Minnesota Statutes, section 475.65, under the direction of the
City Council. Thereafter, the Improvements Account of the Construction Fund is to be
closed and any remaining balances therein and subsequent collections of Assessments
for the Improvements and any Taxes are to be deposited in the Improvements Account
of the Debt Service Fund.
(b
)Sales Tax Account. Proceeds of the Sales Tax Bonds, less the
appropriations made in Section 3.01(c) hereof, together with any other funds
appropriated for the Sales Tax Project and the Sales Taxes collected during the
construction of the Sales Tax Project, will be deposited in the Sales Tax Account of the
Construction Fund to be used solely to defray expenses of the Sales Tax Project and the
payment of principal of and interest on the Sales Tax Bonds prior to the completion and

payment of all costs of the Sales Tax Project. Any balance remaining in the Sale Tax
Account of the Construction Fund after completion of the Sales Tax Project may be used
as provided in Minnesota Statutes, section 475.65, under the direction of the City Council
and in accordance with the Special Law. Thereafter, the Sales Tax Account of the
Construction Fund is to be closed and any balance remaining therein is to be deposited
in the Sales Tax Account of the Debt Service Fund.
(c)CIP Account. Proceeds of the CIP Improvement Bonds, less the
appropriations made in Section 3.01(d) hereof, together with any other funds
appropriated for the CIP Improvements and the CIP Taxes collected during the
construction of the CIP Improvements, will be deposited in the CIP Account of the
Construction Fund to be used solely to defray expenses of the CIP Improvements and the
payment of principal of and interest on the CIP Bonds prior to the completion and
payment of all costs of the CIP Improvements. Any balance remaining in the CIP Account
of the Construction Fund after the CIP Improvements are completed and the costs thereof
have been paid may be used as provided in Minnesota Statutes, section 475.65, under
the direction of the City Council. Thereafter, the CIP Account is to be closed and any
balance remaining therein is to be deposited in the CIP Account of the Debt Service Fund.
3.03. Covenants with Respect to the Improvement Bonds. It is hereby determined that
the Improvements will directly and indirectly benefit abutting property and other identified
property, and the City hereby covenants with the holders from time to time of the Improvement
Bonds as follows:
(a)The City has caused or will cause the Assessments for the Improvements
to be promptly levied so that the first installment will be collectible not later than 2027
and will take all steps necessary to assure prompt collection, and the levy of the
Assessments is hereby authorized. The City Council will cause to be taken with due
diligence all further actions that are required for the construction of each Improvement
financed wholly or partly from the proceeds of the Improvement Bonds, and will take all
further actions necessary for the final and valid levy of the Assessments and the
appropriation of any other funds needed to pay the Improvement Bonds and interest
thereon when due.
(b)In the event of any current or anticipated deficiency in Assessments and
Improvement Taxes, the City Council will levy additional ad valorem taxes in the amount
of the current or anticipated deficiency.
(c)The City will keep complete and accurate books and records showing:
receipts and disbursements in connection with the Improvements, Assessments and
Improvement Taxes levied therefor and other funds appropriated for their payment,
collections thereof and disbursements therefrom, monies on hand and, the balance of
unpaid Assessments and Improvement Taxes.
(d
)The City will cause its books and records to be audited at least annually
and will furnish copies of such audit reports to any interested person upon request.
3.04. Pledge of Taxes.

(a)Improvement Bonds. It is determined that at least 20% of the cost of the
Improvements will be specially assessed against benefited properties. For the purpose of
paying the principal of and interest on the Improvement Bonds, to the extent determined by
the Pricing Committee, there is levied the Improvement Taxes upon all of the taxable property
in the City, which will be spread upon the tax rolls and collected with and as part of other
general taxes of the City. The Improvement Taxes will be credited to the Improvement Account
of the Debt Service Fund above provided and will be in the years and amounts as to be set for
in the Pricing Certificate.
The tax levies will be irrepealable so long as any of the Improvement
Bonds are outstanding and unpaid, provided that the City reserves the right to reduce the
levies in the manner and to the extent permitted by Section 475.61, subdivision 3 of the Act,
and the County Auditor will thereupon reduce the levy collectible during such year by the
amount so certified.
(b)Sales Tax Bonds. It is determined that the principal amount of the Sales Tax
Bonds as set forth in the Pricing Certificate, together with the amounts of sales tax bonds
previously issued under the Sales Tax Special Law, shall not exceed the amounts authorized
under the Special Law for each of the purposes authorized thereunder. For the purpose of
paying the principal of and interest on the Sales Tax Bonds, to the extent determined by the
Pricing Committee, there is hereby levied the Sales Tax Taxes upon all of the taxable property
in the City, which Sales Tax Taxes will be spread upon the tax rolls and collected with and as
part of other general taxes of the City. Such Sales Tax Taxes will be credited to the Sales Tax
Project Account of the Debt Service Fund above provided and will be in the years and amounts
as to be set for in the Pricing Certificate. The tax levies will be irrepealable so long as any of
the Sales Tax Bonds are outstanding and unpaid, provided that the City reserves the right to
reduce the levies in the manner and to the extent permitted by Section 475.61, subdivision 3
of the Act, and the County Auditor will thereupon reduce the levy collectible during such year
by the amount so certified.
(c
)CIP Bonds. It is determined that the principal amount of the CIP Bonds as set
forth in the Pricing Certificate, together with all other capital improvement plan bonds of the
City authorized under the CI Plan, shall not exceed $30,000,000. For the purpose of paying
the principal of and interest on the CIP Bonds, there is hereby levied the CIP Taxes upon all of
the taxable property in the City, which CIP Taxes will be spread upon the tax rolls and collected
with and as part of other general taxes of the City. Such CIP Taxes will be credited to the CIP
Account of the Debt Service Fund above provided and will be in the years and amounts as to
be set for in the Pricing Certificate. The tax levies will be irrepealable so long as any of the CIP
Bonds are outstanding and unpaid, provided that the City reserves the right to reduce the
levies in the manner and to the extent permitted by Section 475.61, subdivision 3 of the Act,
and the County Auditor will thereupon reduce the levy collectible during such year by the
amount so certified.
3.
05. Debt Service Coverage. It is hereby determined that the estimated collections
of Assessments and the Improvement Taxes will produce at least 5% in excess of the amount
needed to meet when due the principal and interest payments on the Improvement Bonds;
the Sales Taxes and any Sales Tax Taxes herein pledged will produce at least 5% in excess of
the amount needed to pay when due the principal and interest payments on the Sales Tax
Bonds; and the CIP Taxes herein pledged will produce at least 5% in excess of the amount
needed to pay when due the principal and interest payments on the CIP Bonds.

3.06. General Obligation Pledge. For the prompt and full payment of the principal of
and interest on the Bonds, as the same respectively become due, the full faith, credit and
taxing powers of the City will be and are hereby irrevocably pledged. If the balance in the Debt
Service Fund is ever insufficient to pay all principal and interest then due on the Bonds and
any other bonds payable therefrom, the deficiency will be promptly paid out of monies in the
general fund of the City which are available for such purpose, and such general fund may be
reimbursed with or without interest from the Debt Service Fund when a sufficient balance is
available therein.
## 3.07. R
egistration of Resolution. The City Finance Director is directed to file a certified
copy of this resolution with the County Auditor of Washington County and to obtain the certificate
required by Section 475.63 of the Act.
Section 4. Authentication of Transcript.
4.01. City Proceedings and Records. The officers of the City are hereby authorized and
directed to prepare and furnish to the Purchaser and to the attorneys approving the Bonds,
certified copies of proceedings and records of the City relating to the Bonds and to the financial
condition and affairs of the City, and such other certificates, affidavits and transcripts as may be
required to show the facts within their knowledge or as shown by the books and records in their
custody and under their control, relating to the validity and marketability of the Bonds, and such
instruments, including any heretofore furnished, will be deemed representations of the City as
to the facts stated therein.
4.02. Ce
rtification as to Official Statement. The Mayor, the City Administrator, the City
Clerk and the City Finance Director, or any of them, are hereby authorized and directed to
certify that they have examined the Official Statement prepared and circulated in connection
with the issuance and sale of the Bonds and that to the best of their knowledge and belief the
Official Statement is, as of the date thereof, a complete and accurate representation of the
facts and representations made therein as of the date of the Official Statement as it relates
to the City.
4.03. Other Certificates. The Mayor, the City Administrator, the City Clerk and the City
Finance Director, or any of them, are hereby authorized and directed to furnish to the
Purchaser at the closing such certificates as are required as a condition of sale. Unless
litigation shall have been commenced and be pending questioning the Bonds or the
organization of the City or incumbency of its officers, at the closing the Mayor, the City
Administrator, the City Clerk and the City Finance Director, or any of them, shall also execute
and deliver to the Purchaser a suitable certificate as to absence of material litigation, and the
City Finance Director shall also execute and deliver a certificate as to payment for and delivery
of the Bonds.
4.04. Electronic Signatures. The electronic signature of the Mayor, the City
Administrator, the City Clerk and the City Finance Director, or any of them, to this resolution
and to any certificate authorized to be executed hereunder shall be as valid as an original
signature of such party and shall be effective to bind the City thereto. For purposes hereof, (i)
“electronic signature” means (a) a manually signed original signature that is then transmitted
by electronic means or (b) a signature obtained through DocuSign or Adobe or a similarly
digitally auditable signature gathering process; and (ii) “transmitted by electronic means”

means sent in the form of a facsimile or sent via the internet as a portable document format
(“pdf”) or other replicating image attached to an electronic mail or internet message.
Section 5. Tax Covenants.
5.01. Tax-Exempt Bonds. The City covenants and agrees with the holders from time to
time of the Bonds that it will not take or permit to be taken by any of its officers, employees or
agents any action which would cause the interest on the Bonds to become subject to taxation
under the Internal Revenue Code of 1986, as amended (the ” Code”), and the Treasury
Regulations promulgated thereunder, in effect at the time of such actions, and that it will take or
cause its officers, employees or agents to take, all affirmative action within its power that may
be necessary to ensure that such interest will not become subject to taxation under the Code
and applicable Treasury Regulations, as presently existing or as hereafter amended and made
applicable to the Bonds. To that end, the City will comply with all requirements necessary under
the Code to establish and maintain the exclusion from gross income of the interest on the Bonds
under Section 103 of the Code, including without limitation requirements relating to temporary
periods for investments, and limitations on amounts invested at a yield greater than the yield on
the
5.02. Rebate. The City will comply with requirements necessary under the Code to

5.03. No Designation of Qualified Tax -Exempt Obligations. The Bonds have not been
designated as a “qualified tax-exempt obligations” within the meaning of Section 265(b)(3) of
the Code.
5.04. Not Private Activity Bonds. The City further covenants not to use the proceeds of
the Bonds or to cause or permit them or any of them to be used, in such a manner as to cause
the Bonds to be “private activity bonds” within the meaning of Sections 103 and 141 through
150 of the Code.
5.05. Procedural Requirements. The City will use its best efforts to comply with any
federal procedural requirements which may apply in order to effectuate the designations made
by this section.
## Se
ction 6. Book-Entry System; Limited Obligation of City.
6.01. DTC. The Bonds will be initially issued in the form of a separate single
typewritten or printed fully registered Bond for each of the maturities set forth in the Pricing
Certificate. Upon initial issuance, the ownership of each Bond will be registered in the
registration books kept by the Registrar in the name of Cede & Co., as nominee for The
Depository Trust Company, New York, New York, and its successors and assigns (“DTC”).
Except as provided in this section, all of the outstanding Bonds will be registered in the
registration books kept by the Registrar in the name of Cede & Co., as nominee of DTC.

6.
02. Participants. With respect to Bonds registered in the registration books kept by
the Registrar in the name of Cede & Co., as nominee of DTC, the City, the Registrar and the
Paying Agent will have no responsibility or obligation to any broker dealers, banks and other
financial institutions from time to time for which DTC holds Bonds as securities depository
(the “Participants”) or to any other person on behalf of which a Participant holds an interest
in the Bonds, including but not limited to any responsibility or obligation with respect to (i) the
accuracy of the records of DTC, Cede & Co. or any Participant with respect to any ownership
interest in the Bonds, (ii) the delivery to any Participant or any other person (other than a
registered owner of Bonds, as shown by the registration books kept by the Registrar) of any
notice with respect to the Bonds, including any notice of redemption, or (iii) the payment to
any Participant or any other person, other than a registered owner of Bonds, of any amount
with respect to principal of, premium, if any, or interest on the Bonds. The City, the Registrar
and the Paying Agent may treat and consider the person in whose name each Bond is
registered in the registration books kept by the Registrar as the holder and absolute owner of
such Bond for the purpose of payment of principal, premium and interest with respect to such
Bond, for the purpose of registering transfers with respect to such Bonds, and for all other
purposes. The Paying Agent will pay all principal of, premium, if any, and interest on the Bonds
only to or on the order of the respective registered owners, as shown in the registration books
kept by the Registrar, and all such payments will be valid and effectual to fully satisfy and
discharge the City’s obligations with respect to payment of principal of, premium, if any, or
interest on the Bonds to the extent of the sum or sums so paid. No person other than a
registered owner of Bonds, as shown in the registration books kept by the Registrar, will
receive a certificated Bond evidencing the obligation of this resolution. Upon delivery by DTC
to the City Administrator of a written notice to the effect that DTC has determined to substitute
a new nominee in place of Cede & Co., the words “Cede & Co.,” will refer to such new nominee
of DTC; and upon receipt of such a notice, the City Administrator will promptly deliver a copy
of the same to the Registrar and Paying Agent.
6.03. Representation Letter. The City has heretofore executed and delivered to DTC
a Blanket Issuer Letter of Representations (the “Representation Letter”) which will govern
payment of principal of, premium, if any, and interest on the Bonds and notices with respect
to the Bonds. Any Paying Agent or Registrar subsequently appointed by the City with respect
to the Bonds will agree to take all action necessary for all representations of the City in the
Representation Letter with respect to the Registrar and Paying Agent, respectively, to be
complied with at all times.
6.04. Transfers Outside Book-Entry System. In the event the City, by resolution of the
City Council, determines that it is in the best interests of the persons having beneficial
interests in the Bonds that they be able to obtain Bond certificates, the City will notify DTC,
whereupon DTC will notify the Participants, of the availability through DTC of Bond certificates.
In such event the City will issue, transfer and exchange Bond certificates as requested by DTC
and any other registered owners in accordance with the provisions of this Resolution. DTC
may determine to discontinue providing its services with respect to the Bonds at any time by
giving notice to the City and discharging its responsibilities with respect thereto under
applicable law. In such event, if no successor securities depository is appointed, the City will
issue and the Registrar will authenticate Bond certificates in accordance with this resolution
and the provisions hereof will apply to the transfer, exchange and method of payment thereof.

6.05. Payments to Cede & Co. Notwithstanding any other provision of this Resolution
to the contrary, so long as a Bond is registered in the name of Cede & Co., as nominee of DTC,
payments with respect to principal of, premium, if any, and interest on the Bond and notices
with respect to the Bond will be made and given, respectively in the manner provided in DTC’s
Operational Arrangements, as set forth in the Representation Letter.
Section 7. Continuing Disclosure.
7.01. City Compliance with Provisions of Continuing Disclosure Certificate. The City
hereby covenants and agrees that it will comply with and carry out all of the provisions of the
Continuing Disclosure Certificate. Notwithstanding any
other provision of this Resolution,
failure of the City to comply with the Continuing Disclosure Certificate is not an event of default
with respect to the Bonds; however, any Bondholder may take such actions as may be
necessary and appropriate, including seeking mandate or specific performance by court order,
to cause the City to comply with its obligations under this section.
7.02.
Execution of Continuing Disclosure Certificate. “Continuing Disclosure
Certificate” means that certain Continuing Disclosure Certificate executed by the Mayor and

Administrator and dated the date of issuance and delivery of the Bonds, as originally
executed and as it may be amended from time to time in accordance with the terms thereof.
Section 8. Defeasance. When the Bonds (or all of any of the Improvement Bonds,
Sales Tax Bonds or CIP Bonds portion thereof) and all accrued interest thereon have been
discharged as provided in this section, all pledges, covenants and other rights granted by this
resolution
(with respect to the Improvement Bonds, the Sales Tax Bonds or CIP Bonds portion
of the
Bonds, as the case may be) to holders of the Bonds will cease, except that the pledge
of the full faith and credit of the City for the prompt and full payment of the principal of and
interest on the Bonds will remain in full force and effect. The City may discharge all Bonds (or
all of either the Improvement Bonds or the
Sales Tax Bonds or CIP Bonds portion thereof)
which are due on any date by depositing with the Registrar on or before that date a sum
sufficient
for the payment thereof in full or by depositing irrevocably in escrow, with a suitable
institution qualified by law as an escrow agent for this purpose, cash or securities which are
backed by
the full faith and credit of the United States of America, or any other security
authorized under Minnesota law for such purpose, bearing interest payable at such times and
at such rates and maturing on such dates and in such amounts as shall be required and
sufficient, subject to sale and/or reinvestment in like securities, to pay said obligation(s),
which may include any interest payment on such Bond and/or principal amount due thereon
at a stated maturity (or if irrevocable provision shall have been made for permitted prior
redemption of such principal amount, at such earlier redemption date). If any Bond
shoul d not be paid when due, it may nevertheless be discharged by depositing with the
Registrar a sum sufficient for the payment thereof in ful l with interest accrued to the date of
such deposit.

The City reserves the right, after proposals are opened and prior to award, to increase or reduce the
principal amount of the Bonds or the amount of any maturity or maturities in multiples of $5,000. In th

## BOOK ENTRY SYSTEM
The Bonds will be issued by means of a book entry system with no physical distribution of Bonds made to
the public. The Bonds will be issued in fully registered form and one Bond, representing the aggregate
principal amount of the Bonds maturing in each year, will be registered in the name of Cede & Co. as
nominee of The Depository Trust Company (“DTC”), New York, New York, which will act as securities
depository for the Bonds. Individual purchases of the Bonds may be made in the principal amount of $5,000
or any multiple thereof of a single maturity through book entries made on the books and records of DTC
and its participants. Principal and interest are payable by the registrar to DTC or its nominee as registered
owner of the Bonds. Transfer of principal and interest payments to participants of DTC will be the
responsibility of DTC; transfer of principal and interest payments to beneficial owners by participants will
be the responsibility of such participants and other nominees of beneficial owners. The lowest bidder (the
“Purchaser”), as a condition of delivery of the Bonds, will be required to deposit the Bonds with DTC.
## REGISTRAR/PAYING AGENT
U.S. Bank Trust Company, National Association, Saint Paul, Minnesota will serve as Registrar/Paying
Agent (the “Registrar”) for the Bonds, and shall be subject to applicable regulations of the Securities and
Exchange Commission. The City will pay for the services of the Registrar.
## OPTIONAL REDEMPTION
The City may elect on February 1, 2036, and on any day thereafter, to redeem Bonds due on or after
February 1, 2037. Redemption may be in whole or in part and if in part at the option of the City and in such
manner as the City shall determine. If less than all Bonds of a maturity are called for redemption, the City
will notify DTC of the particular amount of such maturity to be redeemed. DTC will determine by lot the
amount of each participant's interest in such maturity to be redeemed and each participant will then select
by lot the beneficial ownership interests in such maturity to be redeemed. All redemptions shall be at a
price of par plus accrued interest.
## SECURITY AND PURPOSE
The Bonds will be general obligations of the City for which the City will pledge its full faith and credit and
power to levy direct general ad valorem taxes. In addition, the City will pledge special assessments against
benefited properties and local option sales tax revenues for repayment of the Bonds. The proceeds of the
Bonds will be used to finance (i) various street improvement projects; (ii) expansion and remodeling of City’s
Police Department Facility; and (iii) costs of issuance.

## DDING PARAMETERS
## P
roposals shall be for not less than $19,640,000 (Par) plus accrued interest, if any, on the total principal
amount of the Bonds. Rates shall be in integral multiples of 1/100 or 1/8 of 1%. The initial price to the
public for each maturity as stated on the proposal must be 98.0% or greater.
## P
roposals for the Bonds may contain a maturity schedule providing for a combination of serial bonds and
term bonds. All term bonds shall be subject to mandatory sinking fund redemption at a price of par plus
accrued interest to the date of redemption scheduled to conform to the maturity schedule set forth herein.
In order to designate term bonds, the proposal must specify “Years of Term Maturities” in the spaces
provided on the proposal form.
## N
o proposal can be withdrawn or amended after the time set for receiving proposals on the Sale Date
unless the meeting of the City scheduled for award of the Bonds is adjourned, recessed, or continued to
another date without award of the Bonds having been made. Bonds of the same maturity shall bear a
single rate from the date of the Bonds to the date of maturity. No conditional proposals will be accepted.
## EST
## ABLISHMENT OF ISSUE PRICE
## I
n order to provide the City with information necessary for compliance with Section 148 of the Internal
Revenue Code of 1986, as amended, and the Treasury Regulations promulgated thereunder (collectively,
the “Code”), the Purchaser will be required to assist the City in establishing the issue price of the Bonds
and shall complete, execute, and deliver to the City prior to the closing date, a written certification in a form
acceptable to the Purchaser, the City, and Bond Counsel (the “Issue Price Certificate”) containing the
following for each maturity of the Bonds (and, if different interest rates apply within a maturity, to each
separate CUSIP number within that maturity): (i) the interest rate; (ii) the reasonably expected initial offering
price to the “public” (as said term is defined in Treasury Regulation Section 1.148-1(f) (the “Regulation”))
or the sale price; and (iii) to the extent the hold-the-offering-price rule applies, pricing wires or equivalent
communications supporting such offering or sale price. Any action to be taken or documentation to be
received by the City pursuant hereto may be taken or received on behalf of the City by BTMA.
## T
he City intends that the sale of the Bonds pursuant to this Terms of Proposal shall constitute a “competitive
sale” as defined in the Regulation based on the following:
(
i)the City shall cause this Terms of Proposal to be disseminated to potential bidders in
a
mann
er that is reasonably designed to reach potential bidders;
(ii)all bidders shall have an equal opportunity to submit a bid;
(iii)the City reasonably expects that it will receive bids from at least three bidders that have
established industry reputations for underwriting municipal bonds such as the Bonds; and
(iv)the City anticipates awarding the sale of the Bonds to the bidder who provides a proposal
with the lowest true interest cost, as set forth in this Terms of Proposal (See “AWARD”
herein).
## A
ny bid submitted pursuant to this Terms of Proposal shall be considered a firm offer for the purchase of
the Bonds, as specified in the proposal. The Purchaser shall constitute an “underwriter” as said term is
defined in the Regulation. By submitting its proposal, the Purchaser confirms that it shall require any
agreement among underwriters, a selling group agreement, or other agreement to which it is a party relating
to the initial sale of the Bonds, to include provisions requiring compliance with the provisions of the Code
and the Regulation regarding the initial sale of the Bonds.
## I
f all of the requirements of a “competitive sale” are not satisfied, the City shall advise the Purchaser of such
fact prior to the time of award of the sale of the Bonds to the Purchaser. In such event, any proposal
submitted will not be subject to cancellation or withdrawal. Within twenty-four (24) hours of the notice

of award of the sale of the Bonds, the Purchaser shall advise the City and BTMA if 10% of any maturity of
t
he Bonds (and, if different interest rates apply within a maturity, to each separate CUSIP number within
that maturity) has been sold to the public and the price at which it was sold. The City will treat such sale
price as the “issue price” for such maturity, applied on a maturity-by-maturity basis. The City will not require
the Purchaser to comply with that portion of the Regulation commonly described as the “hold-the-offering-
price” requirement for the remaining maturities, but the Purchaser may elect such option. If the Purchaser
exercises such option, the City will apply the initial offering price to the public provided in the proposal as
the issue price for such maturities. If the Purchaser does not exercise that option, it shall thereafter promptly
provide the City and BTMA the prices at which 10% of such maturities are sold to the public; provided such
determination shall be made and the City and BTMA notified of such prices whether or not the closing date
has occurred, until the 10% test has been satisfied as to each maturity of the Bonds or until all of the Bonds
of a maturity have been sold.
## GOOD FAITH DEPOSIT
To have its proposal considered for award, the Purchaser is required to submit a good faith deposit via wire
transfer to the City in the amount of $196,400 (the “Deposit”) no later than 1:00 P.M., Central Time on the
Sale Date. The Purchaser shall be solely responsible for the timely delivery of its Deposit, and neither the
City nor BTMA have any liability for delays in the receipt of the Deposit. If the Deposit is not received by
the specified time, the City may, at its sole discretion, reject the proposal of the lowest bidder, direct the
second lowest bidder to submit a Deposit, and thereafter award the sale to such bidder.
A Deposit will be considered timely delivered to the City upon submission of a federal wire reference number
by the specified time. Wire transfer instructions will be available from BTMA following the receipt and
tabulation of proposals. The successful bidder must send an e-mail including the following information:
(i)the federal reference number and time released; (ii) the amount of the wire transfer; and (iii) the iss
ue
t
o which it applies.
Once an award has been made, the Deposit received from the Purchaser will be retained by the City and
no interest will accrue to the Purchaser. The amount of the Deposit will be deducted at settlement from the
purchase price. In the event the Purchaser fails to comply with the accepted proposal, said amount will be
retained by the City.
## AWARD
The Bonds will be awarded on the basis of the lowest interest rate to be determined on a true interest cost
(TIC) basis calculated on the proposal prior to any adjustment made by the City. The City's computation of
the interest rate of each proposal, in accordance with customary practice, will be controlling.
The City will reserve the right to: (i) waive non-substantive informalities of any proposal or of matters relating
to the receipt of proposals and award of the Bonds, (ii) reject all proposals without cause, and (iii) reject
any proposal that the City determines to have failed to comply with the terms herein.
## BOND INSURANCE AT PURCHASER'S OPTION
The City has not applied for or pre-approved a commitment for any policy of municipal bond insurance with
respect to the Bonds. If the Bonds qualify for municipal bond insurance and a bidder desires to purchase
a policy, such indication, the maturities to be insured, and the name of the desired insurer must be set forth
on the bidder’s proposal. The City specifically reserves the right to reject any bid specifying municipal bond
insurance, even though such bid may result in the lowest TIC to the City. All costs associated with the
issuance and administration of such policy and associated ratings and expenses (other than any
independent rating requested by the City) shall be paid by the successful bidder. Failure of the municipal
bond insurer to issue the policy after the award of the Bonds shall not constitute cause for failure or refusal
by the successful bidder to accept delivery of the Bonds.

If the Bonds qualify for the assignment of CUSIP numbers such numbers will be printed on the Bonds;
however, neither the failure to print such numbers on any Bond nor any error with respect thereto will
constitute cause for failure or refusal by the Purchaser to accept delivery of the Bonds. BTMA will apply
for CUSIP numbers pursuant to Rule G-34 implemented by the Municipal Securities Rulemaking Board.
The CUSIP Service Bureau charge for the assignment of CUSIP identification numbers shall be paid by the
Purchaser.

## TLEMENT
On or
about September 17, 2026, the Bonds will be delivered without cost to the Purchaser through DTC
in New York, New York. Delivery will be subject to receipt by the Purchaser of an approving legal opinion
of Kutak Rock LLP of Minneapolis, Minnesota, and of customary closing papers, including a no-litigation
certificate. On the date of settlement, payment for the Bonds shall be made in federal, or equivalent, funds
that shall be received at the offices of the City or its designee not later than 12:00 Noon, Central Time.
Unless compliance with the terms of payment for the Bonds has been made impossible by action of the
City, or its agents, the Purchaser shall be liable to the City for any loss suffered by the City by reason of the
Purchaser's non-compliance with said terms for payment.

## NTINUING DISCLOSURE

n accordance with SEC Rule 15c2-12(b)(5), the City will undertake to provide annual reports and notices
of certain events. A description of this undertaking, including the financial/operating information to be
provided and the events to be noticed, is set forth in the form of Continuing Disclosure Certificate attached
as an appendix to the Official Statement. The Purchaser’s obligation to purchase the Bonds will be
conditioned upon receiving evidence of this undertaking at or prior to delivery of the Bonds.

he City has authorized the preparation of a Preliminary Official Statement containing pertinent information
relative to the Bonds, and said Preliminary Official Statement has been deemed final by the City as of the

Statement. The City designates the Purchaser as its agent for purposes of distributing the Final Official

Washington County, Minnesota (the “City”), acknowledges itself to be indebted and for value

for earlier redemption, with interest thereon from the date hereof at the annual Interest Rate

he City has not designated the issue of Bonds of which this Bond forms a part as
“qualified tax-exempt obligations” within the meaning of Section 265(b)(3) of the Internal
Revenue Code of 1986, as amended (the “Code”) relating to disallowance of interest expense
for financial institutions.
This Bond is one of an issue in the aggregate principal amount of $____________ all
of like original issue date and tenor, except as to number, denomination, maturity date,
redemption privilege, and interest rate, all issued pursuant to a resolution adopted by the City
Council on June 23, 2026 (the “Resolution”), for the purpose of providing money to finance
the construction of various public improvement projects within the City, the expansion and
remodeling of the Oakdale Police Department Facility and improvements to City facilities as
outlined in the City’s 2024 through 2028 Five-Year Capital Improvement Plan within the City,
pursuant to and in full conformity with the Constitution and laws of the State of Minnesota,
including Minnesota Statutes, Chapters 429 and 475 and Minnesota State Laws 2021, First
Special Session, Chapter 14, Article 8, Section 15 and Minnesota State Laws 2023, Chapter
65, Article 10, Sections 20 through 23 and the principal hereof and interest hereon are
payable from special assessments levied against property specially benefited by local
improvements, sales tax revenues and from ad valorem taxes, as set forth in the Resolution
to which reference is made for a full statement of rights and powers thereby conferred. The
full faith and credit of the City are irrevocably pledged for payment of this Bond and the City
Council has obligated itself to levy additional ad valorem taxes on all taxable property, in the
City in the event of any deficiency in special assessments, sales tax revenues and ad valorem
taxes pledged, which taxes may be levied without limitation as to rate or amount. The Bonds
of this series are issued only as fully registered Bonds in denominations of $5,000 or any
integral multiple thereof of single maturities.

s provided in the Resolution and subject to certain limitations set forth therein, this
Bond is transferable upon the books of the City at the principal office of the Registrar, by the
registered owner hereof in person or by the owner’s attorney duly authorized in writing, upon
surrender hereof together with a written instrument of transfer satisfactory to the Registrar,
duly executed by the registered owner or the owner’s attorney; and may also be surrendered
in exchange for Bonds of other authorized denominations. Upon such transfer or exchange
the City will cause a new Bond or Bonds to be issued in the name of the transferee or
registered owner, of the same aggregate principal amount, bearing interest at the same rate
and maturing on the same date, subject to reimbursement for any tax, fee or governmental
charge required to be paid with respect to such transfer or exchange.
The City and the Registrar may deem and treat the person in whose name this Bond is
registered as the absolute owner hereof, whether this Bond is overdue or not, for the purpose
of receiving payment and for all other purposes, and neither the City nor the Registrar will be
affected by any notice to the contrary.

Larry and Vickey Eberhard from the Eberhard Group with Keller Williams, are sponsoring the Oakdale
Nature Preserve 5K with a monetary donation of $1,500 that provides race t-shirts for participants.
Pursuant to Minnesota State Statutes, provided below, the City must accept all donations by Resolution
that can only be approved by 2/3’s vote of the Council.
465.03 GIFTS TO MUNICIPALITIES. Any city, county, school district or town may accept a grant or
devise of real or personal property and maintain such property for the benefit of its citizens in
accordance with the terms prescribed by the donor. Nothing herein shall authorize such
acceptance or use for religious or sectarian purposes. Every such acceptance shall be by
resolution of the governing body adopted by a two-thirds majority of its members, expressing such
terms in full

At a meeting of the City Council of the City of Oakdale held on Tuesday, June 23, 2026, at Oakdale
Discovery Center, 4444 Hadley Avenue North, Oakdale, Minnesota, with the following members
present: Mayor Kevin Zabel, Council Members Kari Moore, Andy Morcomb, Gary Severson, and Katie
Wrich; and the following absent: none, the Oakdale City Council resolved:
WHEREAS, the City of Oakdale is generally authorized to accept donations of real and personal
property pursuant to Minnesota Statutes, Section 465.03, et seq. for the benefit of its citizens and
is specifically authorized to accept gifts; and
WHEREAS, the following entity has offered to make a donation to the City: Larry and Vickey Eberhard
of the Eberhard Group with Keller Williams; and
WHEREAS, the donation terms and conditions are as follows: the funds shall be used to cover the
cost of the Oakdale Nature Preserve 5K t-shirts; and
